Terms of business

These terms apply to work carried out by Jambo Jimbo unless a signed proposal or contract says otherwise, in which case that document takes precedence.
Who we are
Jambo Jimbo is the trading name of JAMBOJIMBO LIMITED, registered in England and Wales, company number 16421841, registered office Unit 7, Atlas Business Park, Balby Carr Bank, Doncaster, South Yorkshire, DN4 5JT.
Scope of work
What we will do is set out in a written proposal. Anything not in the proposal is not included. If you want to add to the scope, we will agree it and any change in fee in writing first.
Fees and payment
- Retainers are invoiced monthly in advance. Project work is invoiced as set out in the proposal.
- Invoices are payable within 14 days of the invoice date.
- Advertising spend is paid by you directly to the platform. It is not our fee and we do not mark it up.
- Late payment may attract statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
- We may pause work on an account where an invoice is more than 14 days overdue, having given you written notice first.
What we need from you
Most delays come from access and approvals rather than from the work itself. To deliver on time we need timely access to your website, analytics and advertising accounts, a named person who can approve work, and factual accuracy in anything you ask us to publish.
You are responsible for ensuring that content you supply or approve is accurate and that you hold the rights to it. Where your business is regulated, you remain responsible for compliance with your regulator's rules on advertising and client communications. We will flag anything that looks like a problem, but the final compliance decision is yours.
What we will not do
- Guarantee a specific ranking position, a volume of leads, or a return on advertising spend. Anyone who does is misleading you.
- Publish content we believe to be inaccurate or misleading.
- Use tactics that breach a platform's terms of service.
Confidentiality and naming you
We keep your commercial information confidential. We will name you as a client, or publish results from your account, only with your written permission. You can withdraw that permission and we will remove the case study.
Intellectual property
Once an invoice is paid in full, ownership of the deliverables produced for you under it passes to you. Until then we retain ownership. We keep ownership of our own methods, templates, internal tooling and anything pre-existing, and we grant you a licence to use those to the extent needed to use the deliverables.
Third-party licences, for example stock photography, fonts or plugins, are yours to hold and maintain unless the proposal says we hold them for you.
Data protection
Where we process personal data on your behalf, you are the controller and we are the processor, and a separate data processing agreement applies. How we handle data collected through this website is set out in our privacy policy.
Ending the engagement
Either of us may end the engagement on 30 days' written notice, given at any time. Fees for the notice period remain payable. On termination we will hand over account access, work in progress and any credentials we hold.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, our total liability arising from an engagement is limited to the fees you paid us for that engagement in the 12 months before the claim arose. We are not liable for loss of profit, loss of business or indirect loss.
We are not liable for the consequences of changes made by third-party platforms, including search algorithm updates, advertising policy changes or account suspensions outside our control. We will tell you promptly and work with you to respond.
Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
